contractual relationship

1.1 These Terms and Conditions of Use (hereinafter referred to as the “Terms”) govern the access or use by any person in the Kingdom of Saudi Arabia (hereinafter referred to as the “User”) of the Applications, Websites, Content, Products and/or The services (hereinafter referred to as the “Services”) provided by yumealz, which is a registered name and trademark owned by Wajbati Postal Transport Corporation, a sole proprietorship established in accordance with the regulations of the Kingdom of Saudi Arabia and registered with the Ministry of Commerce with Commercial Registry No.: 4030449209 and its head office is located in the city of Jeddah, Kingdom of Saudi Arabia (hereinafter referred to as “yumealz”).

2.1 The User’s access to and use of the Services constitutes the User’s agreement to be bound by these Terms, which establishes a contractual relationship between the User and yumealz. If the User does not agree to these Terms, the User may not access or use the Services. These Terms specifically supersede any prior agreements, arrangements or understandings with the User. yumealz may immediately terminate these Terms or any of the Services relating to the User or stop offering the Services in general or deny access to them or any part thereof at any time for any reason.

3.1 Some supplemental terms may apply to certain services, such as policies for a particular event, activity or promotion, and if any, such supplemental terms relating to the services provided will be disclosed.

Services

1.2 The Services constitute an online shopping platform that allows users of the yumealz mobile applications or websites to offer, sell or purchase merchandise and/or arrange, coordinate and schedule delivery, logistics and/or transportation services with independent third parties providing such services and/or merchandise , including independent delivery service providers, independent transportation service providers and independent logistics service providers under independent contractor agreements with yumealz or certain subsidiaries or affiliates of yumealz (“Independent Service Providers” or “Independent Service Provider”).

2.2 The actual contract of sale is directly between the seller and the buyer and although yumealz provides pricing, shipping, listings and other directions in the Services, these directions are just information, and the user may decide to follow these instructions or not. License

yumealz grants the User, subject to the User’s compliance with these Terms, a limited, non-exclusive license that may not be licensed to any third party, whether affiliated with the User or a third party, directly and/or sub, and is not transferable to another person and is a revocable license, to:

(a) access and use the Applications on the User’s personal device only in connection with the User’s use of the Services;

(b) access and use any of the content, information and related materials that may be made available through the Services;

The user may not:

(i) remove any copyright, trademark or other proprietary notice from any part of the Services.

(4) Link, duplicate or frame any part of the Services.

(5) Create or cause the creation of any programs or scripts for the purpose of eliminating any part

from the Services, indexing, erasing or otherwise exploiting its data, or improperly burdening or impairing the operation and/or functionality of any aspect of the Services.

(6) Attempting to gain unauthorized access to the Services or damage any of its aspects or any of its related systems and networks.

Providing services

1.5 The User acknowledges that parts of the Services may be made available under the different names and brands of yumealz, if any, or the ordering options associated with the delivery, transportation or logistics services.

2.5 The User acknowledges that the Services may be made available under the yumealz name and brand described above under Clause 5.1 or ordering options in connection with delivery, transportation or logistics services by or in connection with:

(1) Some subsidiaries and affiliates of yumealz, if any

(ii) Independent service providers including drivers of transport network companies, holders of permits under a transport charter or holders of permits, permits or similar transport licenses.

Services and content of independent service providers and third parties

1.6 The Services may be made available or accessible in conjunction with the services and content of independent service providers or third parties including advertising, none of which is under the control of yumealz.

2.6 User acknowledges that different terms of use and privacy policies may apply to User’s use of the services and content of independent service providers or third parties.

3.6 yumealz does not endorse the services and content of independent service providers or third parties and is not in any way responsible for any products or services of independent service providers or third parties.

4.6 Apple, Google, Microsoft Corporation, or their respective international subsidiaries and affiliates are external beneficiaries of this Contract if you access the Services using applications designed specifically for mobile devices running any of the following computer systems: Apple iOS, Android or Microsoft Windows

5.6 The External Beneficiaries referred to above under clause 4.6 are not parties to this Contract and User’s access to the Services using such Devices is subject to the terms set forth in the applicable Third Party Terms of Service.

Property

The Services and all rights thereto including, but not limited to, advertising campaigns, names and trademarks, service marks, logos, designs and artwork, graphics and graphic materials, images, designs and graphic materials, films, blogs, text and printed or written materials remain The phrases, written materials, music and compositions, visual arts, ideas or quotes are the property of yumealz or its licensors. 5.8 The User may not have more than one Account unless authorized in writing by yumealz.

User requirements and behavior

1.9 The Service is not available for use by persons under the age of majority. The User is not entitled to authorize the use of the User’s Account to third parties, and the User cannot allow persons under the age of majority to obtain transportation services from independent service providers unless they are accompanied by the User.

2.9 The User may not assign the Account or transfer the Account ownership to any other person or entity. The user agrees to abide by all the laws and regulations in force in the Kingdom of Saudi Arabia when using the services. The User may only use the Services for lawful purposes.

3.9 In using the Services, the User shall not cause harm, inconvenience, inconvenience or property damage, either to independent service providers or to any other parties. In some cases, the User may be required to provide proof of identity to access or use the Services, and the User agrees to be prevented from accessing or using the Services if the User refuses to provide proof of identity.

2.11 The User agrees that the Promotional Codes:

(ii) It may not be copied, sold, transferred in any way, or made available to the public (whether posted on a public form or otherwise), unless expressly permitted by yumealz.

(3) It may be disabled by yumealz at any time and for any reason without incurring any legal liability.

(4) It can only be used in accordance with the special conditions set by yumealz for each promotional code.

(5) Not suitable for cash payment.

(6) It can be terminated before the user uses it. yumealz reserves the right to withdraw, or deduct credits, or other benefits or benefits obtained through the use of promotional codes by you or any other user in the event that yumealz determines or believes that the use or redemption of the promotional codes was in error or fraud is illegal or in violation of the terms of applicable promotional codes or these Terms.

User Provided Content

4.12 User agrees not to submit any User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, illegal or otherwise offensive, as determined by yumealz in its sole discretion, whether or not such material is protected by statute. yumealz may review, monitor or remove User Content in its sole discretion at any time and for any reason without notifying the User.

Network and Device Access

The User is responsible for obtaining the necessary network access data to use the Services. The rates and charges for data and messages applied by the mobile network to which the user subscribes may apply to the user if the user accesses the services or uses the services from a wireless device, and the user is responsible for these rates and fees. It is the user’s responsibility to acquire and update appropriate equipment or devices that are necessary to access and use the Services and Applications and any updates there. yumealz does not warrant that the Services, or any part thereof, will operate on any particular equipment or devices. 1.14 The User understands that the use of the Services may result in the User being charged for services or goods obtained by the User from the Independent Service Provider (hereinafter referred to as “Fees”).

2.14 After the User receives the Services or Goods obtained through the User’s use of the Service, yumealz will facilitate the User to pay the applicable Fees on behalf of the Independent Service Providers as the Independent Service Providers’ limited payment collection agent, and such payment of the Fee shall be deemed to be effective as if payment had been made directly From the user side to the independent service provider.

3.14 The fees will include taxes including value added tax applicable in the Kingdom of Saudi Arabia. All fees paid by the User are final and non-refundable, unless otherwise specified by yumealz.

4.14 All fees are due with immediate effect and payment is facilitated by yumealz using the user’s preferred payment method defined in the user’s account, after which yumealz will send a receipt to the user via email or application.

5.14 If the primary payment method designated by the user in his account is expired, invalid or cannot be paid through, the user agrees that yumealz, as the limited payment collection agent for independent service providers, may use the secondary payment method on the user’s account, if any, or use any other method available in the Services and/or the User’s account to collect fees.

6.14 As agreed between the User and yumealz, yumealz reserves the right to

create, cancel and/or revise fees for any or all services or merchandise obtained through the use of the Services at any time in yumealz’ sole discretion. Furthermore, the User acknowledges and accepts that the fees applicable in some geographical areas may increase significantly during times of high demand. yumealz will use reasonable efforts to notify the User of charges that may apply to him provided that the User is responsible for the fees incurred in his account regardless of the User’s knowledge of them or the amounts in respect of such account.

7.14 yumealz may from time to time provide certain Users with promotional offers and discounts that may result in varying amounts being paid for the same services or goods or for similar services and goods while using the Services and the User agrees not to have such promotional offers and discounts – unless made available to the User Also – a relationship to his use of the services or fees charged on him.

8.14 The User may elect to cancel his order for services or goods provided by an Independent Service Provider at any time before the Independent Service Provider accepts the User’s request since in the event that the Independent Service Provider accepts the User may be required to pay a cancellation fee.

9.14 The payment structure aims to fully compensate the independent service provider for the services and goods provided. Except in connection with transportation services requested through the Application, yumealz does not allocate any portion of User Payments as a tip or gratuity to the Independent Service Provider.

10.14 Any statement made by yumealz (on its website, in the app or in yumealz marketing materials) that gratuities are “voluntary,” “unconditional” and/or “embedded” in payments you make for services or merchandise provided is not intended to indicate yumealz shall provide any additional amounts to the Independent Service Provider other than the amounts indicated above.

11.14 The User understands and agrees that the User is free to make additional payments as a tip to any independent service provider who provides the User with services and goods through the Service but that the User is not obligated to do so, the tips are paid voluntarily.

12.14 After the User obtains the Services and Goods through the Services, the User will have the opportunity to evaluate his experience and provide additional feedback regarding the Independent Service Provider.

Disclaimer and Indemnity

1.15 Disclaimer.

4.1.15 yumealz shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages including loss of profits, loss of data, personal injury or property damage connected with or in any way caused by the use of the Services even if yumealz has been advised of the possibility of such occurrence of damages.

5.1.15 yumalz shall not be liable for any damages, liability or losses arising from: (i) the User’s use of, reliance on, or inability to access or use, the Services; or (ii) any commercial transaction or relationship between the User and any independent service provider, even if yumalz has been advised of the possibility of such damages.

6.1.15 yumalz shall not be liable for delays or breaches of performance arising from causes beyond yumalz’ reasonable control.

7.1.15 User acknowledges that independent transportation service providers that provide transportation services requested through certain order options in connection with the Services may provide ride-sharing or transportation services, and that they may not be professionally licensed or authorized.

8.1.15 The User may use the yumealz Services to request and schedule delivery or transportation services, or the provision of goods or logistics services by independent service providers, except that the User agrees that yumealz shall have no responsibility or liability to the User in connection with any of the delivery, transportation, or provision of goods or Logistics services provided to the user by independent service providers.

2.15 Compensation.

1.2.15 User agrees to indemnify yumealz, its officers, directors, employees and agents from all claims, demands, losses, liabilities and expenses (including attorneys’ fees) arising out of or in connection with the following:

(i) the User’s use of the Services, services or goods obtained by the User through the use of the Services;

(ii) The user’s breach or violation of any of these Terms.

(iii) yumealz’ use of the User’s User Content.

(4) The user’s violation of the rights of any third party, including independent service providers.

Applicable Law and Arbitration

1.16 The Terms (including non-contractual obligations arising from the Services) shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia

3.18 No joint venture, partnership, employment, business or agency relationship will arise between the User or between yumealz or any other independent service provider as a result of the contract between the User and yumealz  or as a result of the use of the Services.

4.18 In the event that any provision of these Terms is found to be illegal, invalid, or unenforceable in whole or in part under Saudi regulations, then this provision or part of the provision shall be deemed not part of these Terms without any impact on the legality or legality of the remaining provisions of these Terms its validity or enforceability.
